We are accounting firm owners ourselves, so we start as advisors, paid for our judgment, not for pushing a transaction. Most engagements are fixed-fee or retainer, so you always know the cost before we begin. If you decide to sell, merge, or acquire, full representation is available and quoted in a written engagement agreement, and the advisory fees you have already paid generally count toward it.

The professional preparation work that strengthens the firm and packages it properly before any conversation with buyers.

Generally creditable: If you later choose full representation, this preparation work is typically credited toward it.

Scope depends on the condition of financials, normalization work, client data, service mix, team structure, and how much buyer-facing preparation is needed.

Why we lead with advice: most owners do not need a broker on day one. They need an objective advisor to help them decide whether, when, and how to act. We are paid for that judgment, which keeps our guidance honest. If and when you choose to transact, the representation option below is there for you.

When you are ready to act, we can run the deal.

Most of our work is advisory. If you decide you want us to manage a sale or acquisition, we represent you through positioning, outreach, diligence, and closing. Those terms are scoped and quoted in a written engagement for your specific situation, and any advisory or preparation fees you have already paid are generally credited toward it. We would rather earn your trust as an advisor first and let representation be your choice, not our pitch.

Seller representation

Full-process representation through a sale, merger, or succession: positioning, outreach, diligence, and closing. Scoped and quoted for your situation in a written engagement, and generally payable on a successful outcome. We walk you through exactly how it works before you commit to anything.

Buyer representation

Sourcing, evaluating, and helping close well-fit acquisitions, scoped and quoted for your growth plan. No obligation, and disclosed in writing.

Advice first does not cost you more: advisory and preparation fees are generally credited toward representation if you later choose it. Starting with advice gives you clarity now and protects your economics later. We are glad to walk through representation terms in detail whenever you want them.

Important Disclosures

We address alignment and conflicts directly.

Accounting firm M&A requires trust. We want potential clients to understand how conflicts and regulatory questions are handled before serious discussions begin.

Dual-side representation

We do not quietly represent both sides of the same transaction. If a buyer and seller both request our involvement in the same deal, any dual-role arrangement would require clear written disclosure and consent before proceeding.

RWM as a potential buyer

RWM & Company is an active accounting and advisory platform. If RWM & Company could be a potential buyer, that relationship will be disclosed so the seller can make an informed decision about representation and process design.

Asset sales vs. equity sales

Many accounting firm transactions are structured as asset sales. Equity transactions can raise additional securities, broker-dealer, and state-law questions. Engagement terms should be reviewed with appropriate legal counsel.
